Welcome to Fisi. These Terms & Conditions ("Terms") govern your access to and use of the Fisi website, mobile application, wallet, and all related services (collectively, the "Service"), operated by VAS2Nets Technologies ("we", "us", "our"). By creating an account, checking the agreement box, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Description of Service
The Service allows you to fund a digital wallet and use that wallet balance to purchase airtime, mobile data, electricity tokens, cable TV subscriptions, betting wallet top-ups, educational pin/result-checker services, and other value-added services ("VAS") from third-party telecom operators, distribution companies ("Discos"), cable providers, and other billers ("Providers"). The Service also allows you to schedule one-time or recurring purchases in advance.
2. Eligibility & Account Registration
You must be at least 18 years old, or the age of legal majority in your jurisdiction, and capable of forming a binding contract to use the Service. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You may only register and maintain one account for your personal or authorized business use, unless we expressly agree otherwise in writing.
3. Account Security & Your Responsibilities
You are solely responsible for maintaining the confidentiality of your login credentials, transaction PIN, one-time passwords (OTPs), and any biometric or passkey credentials linked to your account. You agree to:
- Never share your password, PIN, or OTP with anyone, including persons claiming to represent us — we will never ask for these.
- Log out of shared or public devices after use, and enable available security features such as biometric login where supported.
- Notify us immediately if you suspect unauthorized access to your account or wallet.
- Double-check all recipient details — phone numbers, meter numbers, smart card numbers, and account IDs — before confirming any transaction.
You are responsible for all activity that occurs under your account where such activity results from your failure to safeguard your credentials in line with this section. Provided you have adhered to the security practices above, our fraud-monitoring and account-protection systems are designed to help detect and limit unauthorized use.
4. Wallet Funding & Payments
Wallet top-ups are processed through licensed third-party payment gateways. Funds credited to your wallet may only be used to pay for services available on the platform and, except where explicitly offered as a feature, are not withdrawable as cash. All transactions are final once successfully processed and confirmed by the relevant Provider. We are not able to reverse a transaction that has already been successfully delivered to a Provider on the basis of recipient details you entered incorrectly (for example, a wrong phone number or meter number) — please verify these details carefully before confirming.
5. Scheduled & Recurring Purchases
Where you set up a scheduled or recurring purchase, you authorize us to automatically debit your wallet and initiate the specified purchase at each scheduled interval, provided sufficient wallet balance is available. You may edit or cancel a scheduled purchase at any time before it runs. We are not liable for a missed or failed scheduled purchase caused by insufficient wallet balance, an expired or changed recipient detail, or an outage at a Provider.
6. Fees, Commissions & Discounts
Certain Providers may offer discounts or commissions on specific services, which are displayed to you before you confirm a purchase where applicable. Fees, commission rates, and discount percentages are set by us or by our Providers, may vary by service and Provider, and may change from time to time without prior notice. The applicable rate at the time you confirm a transaction is the rate that applies to that transaction.
7. Acceptable Use
You agree not to use the Service to:
- Engage in fraud, money laundering, terrorism financing, or any other unlawful activity.
- Circumvent, disable, or otherwise interfere with security features of the Service.
- Use automated means (bots, scripts) to access the Service outside of the scheduling features we provide.
- Resell, sublicense, or provide access to your account to third parties without our written consent.
- Initiate chargebacks or payment reversals for services that have already been successfully delivered.
We reserve the right to suspend or terminate any account, with or without notice, that we reasonably believe is being used in violation of this section, and to report suspected fraudulent activity to relevant financial institutions and law enforcement authorities.
8. Third-Party Providers & Service Availability
The Service depends on telecom operators, electricity distribution companies, cable providers, payment gateways, and other third parties beyond our control. We do not guarantee uninterrupted or error-free service and are not liable for delays, failures, or losses arising from outages, maintenance, or errors on the part of these third parties. Where a Provider fails to deliver a service that was successfully debited from your wallet, we will make reasonable efforts to reverse the debit or resolve the issue in a timely manner.
9. Data Privacy & Protection
We collect and process personal information (such as your name, contact details, identification data, device information, and transaction history) solely to provide, secure, and improve the Service, to verify your identity, to prevent fraud, and to comply with applicable law. We apply industry-standard technical and organizational safeguards — including encryption in transit, hashed credentials, and access controls — to protect your data. We do not sell your personal information to third parties. Your data is shared only with Providers, payment processors, and regulators to the extent necessary to complete your transactions or comply with legal obligations. Your continued security also depends on you following the practices in Section 3 above; we cannot protect information that is voluntarily disclosed by you to a third party.
10. Limitation of Liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of funds resulting from your own error in entering recipient details, sharing of your credentials in violation of these Terms, or the acts or omissions of third-party Providers. Our total liability for any claim arising from the Service shall not exceed the amount of the specific transaction giving rise to the claim.
11. Indemnification
You agree to indemnify and hold us, our officers, employees, and partners harmless from any claim, loss, or damage, including reasonable legal fees, arising out of your breach of these Terms, your misuse of the Service, or your violation of any applicable law.
12. Suspension & Termination
We may suspend or terminate your access to the Service at our discretion where we reasonably suspect fraud, a breach of these Terms, or a legal or regulatory requirement to do so. You may close your account at any time by contacting support; any remaining wallet balance will be handled in accordance with our support process at the time.
13. Changes to These Terms
We may update these Terms from time to time to reflect changes to the Service or applicable law. Where changes are material, we will take reasonable steps to notify you, such as an in-app notice. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
14. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Nigeria, without prejudice to any right you may have to first pursue resolution through our customer support channels.
15. Contact Us
If you have any questions about these Terms or the Service, please contact our support team through the in-app support channel or the contact details published on our website.
